Terms of Sale
THESE TERMS APPLY TO ANY PURCHASE OF PRODUCTS OFFERED BY CONSERVE-A-WATT LIGHTING (CAW). PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT AND SPECIFIC INFORMATION ABOUT YOUR RIGHTS, OBLIGATIONS, LIMITATIONS, AND EXCLUSIONS. BY PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREED TO THESE TERMS.
These Terms of Sale are subject to change at any time without prior notice, at the sole discretion of Conserve-A-Watt Lighting.
Acceptance of Orders
All orders are subject to acceptance by CAW and are subject to CAW's Terms of Sale. CAW reserves the right to select its customers and reject any order. Acceptance of any order is subject to the availability of product and the ability of CAW to deliver.
Orders will be billed at prices in effect at the time of shipment unless otherwise agreed. Orders placed online at cawlighting.com are not binding until accepted. CAW reserves the right to limit order quantity or refuse service to any customer. Verification may be necessary to accept an order.
Product Disclaimer
Any product available on cawlighting.com may be discontinued or replaced at any time without notice. Product prices do not include shipping, handling, or applicable sales taxes, which will be added to the final invoice price.
Price Errors
Product prices are subject to change at any time without notice. Any pricing errors will be promptly corrected, and the correct price will apply. Customers will be notified if incorrect prices appear on their order.
Payment
Payment may be made by cash, check, credit card, or ACH.
Accepted Credit Cards: Visa, MasterCard, Discover, and American Express.
- Credit Cards: Credit card numbers and billing information will be verified before any charge is made. Credit card fees may apply.
- ACH: Preferred method of payment with no additional fees.
- Credit Accounts: Customers wishing to open a credit account may print an application from www.cawlighting.com or contact the corporate office at 303-629-0066. Credit accounts are subject to initial credit verification and periodic review.
Standard terms for CAW credit accounts are NET 30. Any open balance after 30 days is subject to a monthly fee of 1.5% of the balance per month.
Sales Tax
The Buyer is responsible for any local, state, or applicable sales taxes based on the invoice total. Sales tax must be paid by the Buyer unless a valid tax exemption certificate acceptable to the taxing authority is provided to Conserve-A-Watt Lighting.
Delivery
CAW will make every reasonable effort to ship orders within a realistic time frame. However, the company is not responsible for delays caused by events outside of its control.
One-Time Purchases
Customers placing an order as a “one-time purchase” must prepay the full amount at the time of purchase before materials will be ordered. Otherwise, the customer must establish an account to place orders without prepayment.
Returns Policy
General Returns
All returns are subject to a restocking fee. Items must be returned in their original packaging and in like-new condition to qualify for return. Returns that do not meet these criteria may be denied at CAW’s sole discretion.
Non-Stock Item Returns
Non-stock items ordered from the manufacturer on behalf of the customer are subject to a 20% restocking fee.
Custom Orders
Custom orders that CAW cannot return to the manufacturer are non-refundable and non-returnable. Customers must prepay in full before CAW places the order. Any order modifications or cancellations after placement may result in additional costs and fees, which will be the sole responsibility of the customer.
POS Rebates
POS rebates are applied directly at the time of sale and do not require a separate application. To qualify, the customer must have an active account with CAW and provide the installation address at the time of purchase.
POS rebates are only available for eligible products and locations as determined by the applicable rebate program. If a valid installation address is not provided, the rebate may be denied and the full product price will apply.
POS rebates are non-transferable and cannot be duplicated, resold, or used for locations other than the one provided at the time of purchase. Any attempt to falsify installation information or circumvent program requirements may result in account suspension, reversal of rebates, and potential legal action.
Prescriptive Rebate Agreements
All prescriptive rebates offered before service are estimated based on qualifying fixtures listed by the DLC. Customers must sign the Rebate Release form before any pricing in the quotation is honored by CAW.
By signing this form, the customer releases any right to obtain, collect, or pursue rebates passed to them upfront by CAW. If a rebate check is mistakenly sent to the customer, it must be signed over to CAW immediately, or the amount will be added to the customer’s account and may restrict future business.
Any attempt to alter the rebate form or cash a rebate check will be considered criminal negligence or mischief and will void all product and labor warranties. Any attempt to falsify installation information or circumvent program requirements may result in account suspension, reversal of rebates, and potential legal action.
Service and Labor Terms and Conditions
- General Terms: All quotations and services provided by CAW are subject to these Terms and Conditions. By accepting our quote, the customer agrees to these terms.
- Pricing and Estimates: Estimates assume existing fixtures and wiring are in acceptable condition and do not require replacement or modification. Pricing includes testing but does not include labor required to identify or trace circuits. Customers must ensure circuits are labeled and that control or electrical rooms are accessible upon arrival to avoid additional labor fees. Estimates do not include demolition, running new circuits to breakers, or other electrical modifications unless explicitly stated.
- Service Scope and Limitations: Service jobs are limited to the work specified in the estimate. Additional work will require a change order and additional charges. CAW is not responsible for unforeseen obstructions such as concealed wiring issues, damaged sockets, or defective fixtures unless noted in the estimate. A minimum labor charge of two (2) hours applies to any coordinated site visit. If work cannot be completed due to customer responsibilities not being met (site access, approvals, or work area preparation), the minimum charge will still apply.
- Warranty: Labor performed by CAW includes a one-year warranty from the completion date. Installed parts retain their manufacturer’s warranty. Warranty does not cover misuse, vandalism, acts of nature, or work performed by third parties.
- Customer Responsibilities: Customers must ensure work areas are free of obstructions. Any unforeseen site conditions that result in additional labor time will be charged accordingly. Customers must notify relevant personnel of scheduled work to avoid delays.
- Payment Terms: A deposit may be required before work begins. Remaining balances are due monthly based on completed work unless otherwise agreed in writing. Late payments may incur finance charges or service fees. All equipment and materials remain the property of CAW until full payment is received.
- Liability Limitations: CAW is not responsible for damage resulting from pre-existing conditions, structural deficiencies, or concealed hazards. CAW is not liable for consequential damages caused by delays or unforeseen site conditions. CAW will not be responsible for property damage related to access requirements, including flooring, ceilings, or walls.
- Changes and Cancellations: Any modifications to the agreed scope of work must be documented in writing and may result in additional charges. Cancellations may incur charges based on materials purchased and labor quoted. These Terms and Conditions are subject to change at the discretion of CAW.
